Terms of Service — Groove Dev

These Terms of Service ("Terms") govern your access to and use of the Groove Dev website, desktop application, and related services (collectively, the "Services"), offered by Groove Dev ("Groove," "we," "us," or "our").

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Accounts

To access certain features, including subscriptions and the marketplace, you must create an account. When you do, you agree to:

Provide accurate, current, and complete information
Maintain the security of your password and account credentials
Promptly notify us of any unauthorized access at security@groovedev.ai
Accept responsibility for all activity under your account

You must be at least 13 years old (or 16 in the EU/UK) to use the Services. Accounts are personal; you may not share credentials or resell access.

2. The Services

Community (free)

The Groove desktop app and command-line tools are licensed under the Functional Source License (FSL-1.1-Apache-2.0). You may use the Community edition for any purpose, free of charge, subject to the license terms.

Pro and Teams (paid subscriptions)

Paid subscriptions unlock additional features (such as SSH tunnels, federation, and cloud team management) that rely on our hosted infrastructure. These features are available only with an active subscription.

3. Subscriptions and billing

Pricing

Current prices are listed at groovedev.ai/pricing. We may change prices with reasonable advance notice. New prices apply to new subscriptions and renewals; existing subscribers keep their current rate until their next renewal or until they change plans.

Billing cycle and auto-renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual) until you cancel. By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method on each renewal.

Cancellation

You can cancel at any time from the Stripe Customer Portal (linked from your account page). Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.

Refunds

Subscriptions are non-refundable except where required by law. If you believe a charge is in error, contact us within 30 days at billing@groovedev.ai and we will review in good faith.

Failed payments

If a payment fails, we will retry according to Stripe's Smart Retries schedule. Your subscription may enter a "past due" grace period during which features remain available. If payment continues to fail, the subscription will be canceled and features will revert to Community.

Team seats

For Teams plans, you can add or remove seats at any time from the desktop app. Stripe automatically prorates charges.

Taxes

Prices are exclusive of taxes unless stated. Applicable sales tax, VAT, or GST may be added at checkout based on your location.

4. License and acceptable use

License

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Services for your own internal or commercial purposes. The open-source Community edition is governed by the Functional Source License; see the repository for details.

Acceptable use

You agree not to:

Use the Services to violate any law or the rights of others
Reverse engineer, decompile, or attempt to extract source code except as permitted by law or open-source license
Interfere with, disrupt, or overload our infrastructure
Circumvent authentication, subscription checks, or access controls
Use the Services to generate spam, malware, phishing content, or unlawful material
Share account credentials or resell access without permission
Scrape or harvest data in bulk beyond what is permitted by our API

5. User content (marketplace, profiles, support)

You retain ownership of any content you publish through the Services (skills, profiles, support messages, etc.). By publishing content, you grant us a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote that content as necessary to operate the Services.

You represent and warrant that you have the right to publish any content you submit and that it does not infringe any third-party rights or violate any law.

We may remove content at our discretion if it violates these Terms or applicable law.

6. AI-assisted output

Groove coordinates AI coding agents but does not itself generate code or content. Output generated by AI models (Claude, Codex, Gemini, Ollama, etc.) through Groove is produced by those third-party models and governed by their respective terms. We do not warrant the accuracy, legality, or fitness of AI-generated output, and you are solely responsible for reviewing and validating any output you rely on.

7. Third-party services

The Services integrate with third-party platforms (Stripe, Google, GitHub, AI model providers, cloud infrastructure). Your use of those services is subject to their own terms. We are not responsible for their availability, policies, or conduct.

8. Intellectual property

All trademarks, logos, and branding of Groove Dev are owned by us. You may not use them without permission except for fair use (e.g., identifying our product in reviews or articles). The Groove source code is licensed under FSL-1.1-Apache-2.0 as detailed in the repository.

9. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services. On termination:

Your access to paid features ends
Your stored account data may be deleted subject to our data retention policy
Sections of these Terms that by their nature should survive termination (payment obligations, IP, disclaimers, limitation of liability, governing law) will continue to apply

10. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROOVE DEV AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) USD $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Groove Dev and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Groove agree to resolve any dispute in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Where applicable law gives you mandatory rights in your jurisdiction, those rights are not waived by this clause.

14. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on this page with a new "Last updated" date. If changes are material, we will provide reasonable notice (email or in-app). Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.

15. Miscellaneous

Entire agreement: these Terms and our Privacy Policy are the entire agreement between you and Groove Dev regarding the Services.
Severability: if any provision is found unenforceable, the rest remains in effect.
No waiver: our failure to enforce any provision is not a waiver.
Assignment: you may not assign these Terms; we may assign them to an affiliate or successor.
